Saving of His Majesty the Yang di-Pertuan Agong and other rights 4 Laws of Malaysia ACT 86 Superior of the Institute of the Congregation of the Brothers of Mercy (Incorporation) LAWS OF MALAYSIA 5 Act 86 SUPERIOR OF THE INSTITUTE OF THE CONGREGATION OF THE BROTHERS OF MERCY (INCORPORATION) ACT 1972 An Act to incorporate the Superior of the Institute of the Congregation of the Brothers of Mercy. [1 October 1972] WHEREAS the Institute of the Congregation of the Brothers of Mercy (hereinafter called “the Institute”) is engaged in promoting medical, social and welfare works in Malaysia; AND WHEREAS of the said purposes the Institute has established an institution generally known as the Fatimah Hospital now at Ipoh in the State of Perak; AND WHEREAS it is expedient for the better carrying on of the financial business of the said institution and such institutions which may hereafter be established by the Institute that the office of Superior of the Institute of the Congregation of the Brothers of Mercy should be incorporated; BE IT ENACTED by the Yang di-Pertuan Agong with the advice and consent of the Dewan Negara and Dewan Rakyat in Parliament assembled, and by the authority of the same, as follows: Short title 1. This Act may be cited as the Superior of the Institute of the Congregation of the Brothers of Mercy (Incorporation) Act 1972. Incorporation and powers of the Superior 2. (1) The office of Superior of the Institute of the Congregation of the Brothers of Mercy shall be a body corporate by the name of “The Superior of the Institute of the Congregation of the Brothers of Mercy” (in this Act referred to as “the Corporation”). 6 Laws of Malaysia ACT 86 (2) The Corporation may enter into contracts and may sue and be sued in its name and shall have perpetual succession and a corporate seal, and the said seal may, from time to time, be broken, changed, altered and made anew as the Corporation seems fit, and until a seal is provided under this section a stamp bearing the inscription “Superior of the Institute of the Congregation of the Brothers of Mercy” may be used as the corporate seal. (3) The Corporation may acquire, purchase, take, hold and enjoy movable and immovable property of every description and may sell, convey, assign, surrender and yield up, charge, mortgage, demise, reassign, transfer or otherwise dispose of, or deal with any movable or immovable property vested in the said Corporation upon such terms as to the Corporation seems fit. Use of corporate seal 3. (1) No deed, document or other instrument sealed with the seal of the Corporation shall be deemed to be duly sealed unless such seal has been affixed in the presence of the person for the time being holding or acting in the office of Superior of the Institute of the Congregation of the Brothers of Mercy or his attorney duly authorized by a power of attorney registered under the Powers of Attorney Act 1949 [Act 424], and unless such deed, document or other instrument is signed by such person. (2) Such signing shall be taken as sufficient evidence of the due sealing of such deed, document or other instrument. Appointment 4. A notification in the Gazette of the appointment of any person to hold or act in the office of Superior of the said Institute shall be conclusive evidence that such person was duly so appointed. Vesting of property of Institute 5. All movable and immovable property situated in Malaysia heretofore held, for and by, conveyed, assigned, granted, leased, transferred, transmitted to or otherwise vested in the Institute is hereby vested in the Corporation for the respective estates and interests for which the same is holden. Superior of the Institute of the Congregation of the Brothers of Mercy (Incorporation) 7 Saving of the Yang di-Pertuan Agong and other rights 6.
