Payment of debts and liabilities 4 Laws of Malaysia Act 781 Redemptorist Fathers (Incorporation) 5 LAWS OF MALAYSIA Act 781 REDEMPTORIST FATHERS (INCORPORATION) ACT 1962 An Act to incorporate the Titular Superior of the Redemptorist Fathers in the Federation of Malaya. [9 June 1962] Short title 1. This Act may be cited as the Redemptorist Fathers (Incorporation) Act 1962. Interpretation 2. In this Act, unless the context otherwise requires— “Corporation” means the body incorporated under the name of “Titular Superior of the Redemptorist Fathers in the Federation of Malaya” by this Act. Incorporation of the Titular Superior of the Redemptorist Fathers in the Federation of Malaya and powers of the Corporation 3. (1) The Reverend Father Gregory Dobson, the Titular Superior of the Redemptorist Fathers in the Peninsular Malaysia and his successors for the time being in office shall be a body corporate by the name of “Titular Superior of the Redemptorist Fathers in the Federation of Malaya” and shall have perpetual succession. 6 Laws of Malaysia Act 781 (2) The Corporation may sue and be sued in its name and do all other matters and things incidental or appertaining to a body corporate. (3) The Corporation may— (a) enter into contracts; (b) acquire, purchase, take hold and enjoy movable and immovable property of every description; and (c) convey, transfer, assign, surrender and yield up, charge, mortgage, demise, reassign or otherwise dispose of, or deal with, any movable or immovable property vested in the Corporation, upon such terms as the Corporation thinks fit. Common seal 4. (1) The Corporation shall have a common seal which may be broken, changed, altered and made anew as the Corporation thinks fit. (2) No deed, document or other instrument sealed with the seal of the Corporation shall be deemed to be duly sealed unless— (a) the seal has been affixed in the presence of Reverend Father Gregory Dobson or of his successor in office, as the case may be, or of the attorney of either of them, duly authorized by a power of attorney registered under the Powers of Attorney Act 1949 [Act 424]; and (b) the deed, document or other instrument is signed by Reverend Father Gregory Dobson or his successor or by the attorney of either of them. (3) The signing of the deed, document or other instrument shall be sufficient evidence of the due sealing of such deed, document or other instruments. Redemptorist Fathers (Incorporation) 7 Notification of appointment of Titular Superior 5. A notification in the Gazette of the appointment of any person to hold, or act in, the office of the Corporation shall be conclusive evidence that such person was duly so appointed. Vesting of property 6. (1) On the coming into force of this Act, all property belonging to the Titular Superior of the Redemptorist Fathers in the Federation of Malaya, whether held in the name of the Titular Superior or in the name or names of any person or persons in trust of him, shall be vested in the Corporation. (2) The property referred to in subsection (1) together with all after-acquired property movable or immovable, all subscriptions, contributions, donations, fines, amounts of loans and advances received or to be received shall be held by the Corporation for the purposes of this Act and subject to the rules for the time being of the Corporation. Payment of debts and liabilities 7. (1) All debts and liabilities of the Titular Superior of the Redemptorist Fathers existing at the time of the coming into force of this Act shall be paid by the Corporation.
